P3 Asset Repositioning Fund, LLC

 

 

The P3 Asset Repositioning Fund, LLC is a multi-series private investment vehicle created to transform undervalued real estate, hospitality, entertainment, and intellectual property assets into high-performing, community-enhancing enterprises. Structured as a Delaware Master LLC under SEC Regulation D, Rule 506(c), the Fund is open exclusively to verified accredited investors, and is designed to provide strong, risk-adjusted returns through a diversified, asset-backed portfolio.

 

The Fund targets a $30 million total capitalization, strategically deployed across three operating Series:

 

 

Series A — Real Estate & Hospitality

 

 

Focused on the redevelopment of two cornerstone assets:

(1) Ascend Fanti-Suites Hotel – Tyler, Texas:

A 144-key hospitality repositioning into a themed experiential hotel, anchored by Legends Bar & Grill, the Fanti-Play Gaming Lounge, Bullard Tournaments, and a flagship collection of 12 immersive Fanti-Suites.

 

(2) Parkhill Center Redevelopment – Denver, Colorado:

A legacy family asset reimagined into a multi-story mixed-use development featuring retail, residential units, a two-level parking terrace, and a community workforce and youth tech center operated through the More Than H.O.P.E. Foundation.

 

 

Series B — Entertainment & Media

 

 

Develops and monetizes emerging creative talent (FlyBoi Davohn, 10-4, and the Swishahouse West initiatives), leveraging digital media, branding, and scalable entertainment infrastructure.

 

 

Series C — Intellectual Property & Technology

 

 

Accelerates the development and commercialization of protected intellectual property including:

• Game-Bling™ — A skill-based gaming platform

• Street Marine™ — Security hardware innovation

• Metropolis™ — A family entertainment and experiential center concept

 

These Series work together to create multiple revenue streams, protect investor capital through Series-level asset segregation, and position the Fund for long-term expansion—including future phases involving a $125M multi-asset umbrella fund and eventual REIT/SPV structuring.

 

 

Seed Round Offering

 

 

The Fund is currently offering a limited Seed Round to raise $450,000 in pre-development capital, enabling early architectural, planning, feasibility, and entitlement work.

 

Seed Round investors may participate at $100,000 minimum, rather than the standard $250,000 entry, and receive:

• A 1% equity bonus for completing their subscription and funding within 5 business days

• Early-round valuation advantages

• Priority access to future Series allocations

 

Modeled projections indicate that a $100,000 early allocation may grow to approximately $450,000 over the investment horizon if underwriting executes as anticipated.
